These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and MediSuggest Services India Pvt. Ltd. ("ConsultPro", "we", "us", or "our"), a company incorporated under the laws of India.

By creating an account, accessing, or using the ConsultPro platform (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.

If you do not agree with any part of these Terms, you must not use the Service.

ConsultPro is a SaaS platform designed for managing billing relationships between hospitals and visiting consultants in India. The Service includes, but is not limited to:

• Visit management and tracking for hospital-consultant engagements
• Billing generation with configurable fee structures
• Two-way approval workflows between hospitals and consultants
• Automated TDS calculation and compliance under Section 194J of the Income Tax Act
• Payment tracking, reconciliation, and reporting
• WhatsApp and email notifications for transactional updates
• Multi-tenant organisation management

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

3.1 Accurate Information

You agree to provide accurate, current, and complete information during registration, including your legal name, email address, phone number, PAN, and organisation details. You are responsible for keeping this information up to date.

3.2 Tenant Creation

Upon registration, a tenant (organisation workspace) is created for your hospital or consulting practice. The tenant serves as the primary unit of data isolation on the platform. Each tenant may have multiple users with different roles.

3.3 Admin Responsibility

The account creator is designated as the tenant administrator. Administrators are responsible for managing user access, assigning roles, and ensuring that all users within their tenant comply with these Terms. ConsultPro is not responsible for unauthorised actions taken by users within your tenant.

4.1 Free Trial

ConsultPro offers a free trial period as specified on the pricing page. During the trial, you have access to the full feature set of the selected plan. No payment information is required to start a trial. At the end of the trial, your account will be paused until you subscribe to a paid plan.

4.2 Paid Plans

Paid subscriptions are available on monthly and annual billing cycles. Pricing is listed on our website and is subject to change with 30 days' prior notice. All prices are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (GST).

4.3 Payment Processing

All payments are processed securely through Razorpay. By subscribing, you authorise ConsultPro and Razorpay to charge your designated payment method for the applicable subscription fees.

4.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will receive a reminder notification at least 7 days before renewal.

4.5 Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation, you will retain access to the Service until the end of your current billing period. No partial refunds are provided for unused portions of a monthly billing cycle. Please refer to our Refund Policy for further details.

5.1 Lawful Use

You agree to use the Service only for lawful purposes and in compliance with all applicable Indian laws and regulations. You shall not use the Service to transmit any fraudulent, defamatory, or harmful content.

5.2 Data Accuracy

You are responsible for the accuracy and completeness of all data you enter into the platform, including visit records, billing amounts, and consultant details. ConsultPro provides tools for reconciliation but does not independently verify the correctness of user-entered data.

5.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at [email protected] if you suspect any unauthorised access to your account. You are liable for all activity that occurs under your account.

You retain full ownership of all data you and your organisation upload or create on the platform ("Tenant Data"). This includes visit records, billing entries, consultant profiles, financial reports, and any other content generated within your tenant.

ConsultPro does not claim any ownership rights over your Tenant Data. We provide the platform infrastructure, and you retain complete control and ownership of your content.

You grant ConsultPro a limited, non-exclusive licence to use your Tenant Data solely for the purpose of providing, maintaining, and improving the Service. This licence terminates when your account is closed and your data is deleted.

The ConsultPro platform, including its source code, design, interface, logos, trademarks, documentation, and all related intellectual property, is and remains the exclusive property of MediSuggest Services India Pvt. Ltd.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during the subscription term.

You may not copy, modify, distribute, reverse-engineer, decompile, or create derivative works of any part of the Service without our prior written consent.

To the maximum extent permitted by applicable law:

• The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
• ConsultPro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
• Our total aggregate liability for any claim arising out of or relating to the Service shall not exceed the total fees paid by you to ConsultPro in the twelve (12) months preceding the claim.

ConsultPro is not a financial advisor, tax consultant, or accounting firm. While we provide tools for TDS calculation and billing management, you are solely responsible for ensuring the accuracy of your tax filings and compliance with applicable laws.

You agree to indemnify, defend, and hold harmless MediSuggest Services India Pvt. Ltd., its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any data or content you upload to the platform.

10.1 Termination by You

You may terminate your account at any time by contacting our support team or using the account settings within the platform. Upon termination, your access to the Service will cease at the end of the current billing period.

10.2 Termination by Us

We may suspend or terminate your account if you breach these Terms, engage in fraudulent activity, fail to pay subscription fees, or if continued use poses a risk to other users or the platform. We will provide reasonable notice where possible.

10.3 Data Export Period

Upon termination, you will have a 30-day grace period to export your Tenant Data from the platform. After this period, your data will be permanently deleted from our systems, except for records we are legally required to retain (e.g. financial records under Indian tax law).

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of at least thirty (30) days.

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Notify you via email or an in-app banner at least 15 days before the changes take effect
• Provide a summary of the key changes for your convenience

Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service.
